Article I - Board of Directors
Section 1 - Membership
The Board of Directors shall comprise of the President, the Vice-President, the Secretary, the Treasurer, and the Episcopal Advisor or the Chaplain, the immediate past President, or other representative General Members. The Episcopal Advisor or Spiritual Advisor shall serve as ex-officio members without vote.
Section 2 - Number on the board
Up to twelve members will comprise the Board.
Section 3 - Qualification
Board Members must be in good standing within the Roman Catholic Church and their profession.
Section 4 - Selection of the Board
At the first general meeting, members of the association will elect the first Board of Directors.
Section 5 - Elections & Vacancies of the Board
The Board of Directors will have the power to elect members for a four year term and to fill vacancies in the Board, by establishing a nominating committee.
Section 6 - Duties
The duties of the Board of Directors shall be those of conducting the affairs of the Association for Catholic Chiropractors authorized by its Certificate of Incorporation, Constitution and Bylaws and shall:
1. elect the officers
2. review and vote on all amendments
3. fix annual dues
4. decide on membership of local chapters
5. adopt rules and regulations for the membership
6. edit and print authorized publications and proceedings
7. appoint the Executive Director, and fix his or her remuneration
8. approve the expenses for the cost of meetings and any proper expenses of the Association, its officers, executive directors and employees.
Article II - Officers
Section I
Officers of the Association for Catholic Chiropractors shall be honorary and elective. Elective officers by priority shall be President, Vice-President, Secretary, and Treasurer.
Section 2 - Elections
1. The President, Vice-President, Secretary and Treasurer shall be elected at the annual Board of Directors meeting, each for a term of four years. Any officer shall have first served on the Board of Directors.
2. The President shall appoint a nominating committee to present nominees for the positions of officers to be voted on at the annual Board meeting.
3. The election of officers shall be determined by a majority vote of the Board of Directors present.
Section 3 - Vacancies
In the event of a sudden opening of a position the holder of the next office shall assume that office until the Board of Directors appoints an acting-officer for the remainder of that term until the next annual Board meeting.
Section 4 - Founder
After serving in the office of President and Executive Director, the founder of the organization will serve as an advisor and voting member of the Board.
Section 5 - Duties of each officer
1. President
The President shall preside at all meetings of the Association for Catholic Chiropractors and the Board of Directors, shall be an ex-officio member of all committees, shall fill all vacancies during unexpired terms, shall call all meetings, and shall perform such other duties appropriate to his or her office. The President may hold other positions, such as Executive Director or Editor-in Chief of official publications.
2. Vice President
Shall assist the President in all his or her duties.
3. Secretary
The Secretary shall perform or oversee the Executive Director to: record all proceedings and minutes of all meetings of the Association for , Catholic Chiropractors handle all non financial information and legal papers, record and preserve the organization's history, and act as the communication liaison between the Board members and membership.
4. Treasurer
The Treasurer shall perform or oversee the Executive Director to: receive and record all funds, disbursements, bank accounts, investments, prepare an annual report in writing for all monies received and expended, and shall provide at each Board meeting an audited statement of the financial condition of the association
Section 6 - Officers as Ex officio
The officers will serve as ex officio on the board of The Directors for the term concurrent with their terms.
Section 7 - Impeachment
Removal of any officer will be for just cause by the unanimous decision of the Board of Directors by using:
1. general standard of the "The reasonable judgment of a prudent person;"
2. a process for settlement of disputes will be with the person, the Board, and an appointed arbitrator selected by the organization's presiding legal counsel;
3. a course of action that is appropriate to the existing administrative procedures. back to previous
Article III - Executive Committee of the Board
Section 1 - Members
The Executive Committee shall consist of the President, the Vice-President, the Secretary, the Treasurer, the Past President, and the Founder.
Section 2 - Duties
The Executive Committee shall exercise all powers of the Board of Directors between the meetings of the Board of Directors, except that it shall not have the power to elect board members or to regulate annual dues. It shall keep a record of its proceedings and report them to the Directors at their next meeting for their approval.
Article IV - Meetings of the Board and Executive Committees
Section 1
The President may call meetings of the Executive Committee, as needed. Meetings of the Board of Directors shall be held annually.
Section 2
Special meetings may be called at any time by the President, or upon written request of four Directors, and shall be confined to the purpose for which the meeting is called.
Section 3
The majority of the Board and the Executive Committee, one being the President, shall constitute a quorum.
Section 4
Meetings and voting may be held in personal or through or by teleconferencing, videoconferencing or other technological communications.
Article V - Spiritual Advisor {Chaplain}
Section 1
The Spiritual Advisor to the Association for Catholic Chiropractors shall be a priest appointed by the Board of Directors and approved by his Ecclesiastical superior, his Bishop or his Provincial Superior, who are of the Roman Catholic Rite
Section 2
The Spiritual Advisor of the Association for Catholic Chiropractors shall be appointed by the Board of Directors for a term of two years, not to exceed two consecutive terms.
Section 3
The Spiritual Director shall co-chair the Association's Spiritual and Ecclesiastical Committees, and shall be a non-voting member of the Board of Directors.
Article VI - Executive Director
Section 1
An Executive Director shall be appointed by the Board of Directors, and shall serve at the pleasure of the Directors, or until a successor is chosen. He or she needs to be a member of the association, may also be a member of the Executive Committee, and shall serve as its bonded executive officer, manage its activities and business affairs, and act under the supervision of the Board of Directors.
Section 2 - Duties and Responsibilities
The Director shall not be limited to, but include the following:
1. Provide the necessary information to the Board of Directors and the Executive Committee;
2. Act as the liaison between all other organizations and programs;
3. Direct the executive offices of the association; appoint, direct and remove assistants and employees; set polices and procedures;
4. Be responsible for the management and maintenance of all records concerned with membership, accounts, and dues collection;
5. Coordinate all events and meetings;
6. Design and supervise all programs for or with the committees;
7. Handle all business management of the official publications.
Article VII - Advisory Board to the Board of Directors
Section 1 - Members
A special Advisory Board shall consist of professionals and scholars whose purpose is to review, advise and counsel the Board in matters related to their field. The Advisory Board members may include a Theologian, a Philosopher, an Attorney, a Financial professional and Pastoral Counselor, other Health Care professionals, or other professionals, who interface with the chiropractic profession.
Section 2 - Appointments
Advisory Board members will be appointed by the Board of Directors to help the organization achieve its goals. Members of this council may be paid for their professional services.
Article VIII - Committees
Section 1
The President, along with the Executive Director, shall appoint all committee chairs from the general membership. The duration of each committee chair shall be determined at the time of his/hers appointment, but may not exceed the term of the appointing president.
Section 2
Committee Chairs shall appoint members for their committees, who are either general or associate members. Each committee may have an outside advisor, an expert in their respective field, who may or may not be a member of the organization.

Article IX - Publications
Section 1
The Board of Directors shall be in charge of publishing an official newsletter and journal, which offers educational support in the areas of ethical practices, philosophy, theology, and spiritual formation, as it relates to the practice of health care or personally for the chiropractic professional.
Section 2
The Board of Directors shall appoint an Editor -in -Chief and members of an advisory board to carry out this provision.
Article X - Classes of Membership
Section I - General
1. Qualifications
Membership shall be open to individual Catholic chiropractors, who are in good standing in the profession and members of Catholic rites which are in union with Rome.
2. Rights and privileges
General members shall have all the rights and privileges as a member of the Association for Catholic Chiropractors including the right to vote on any matter required by law to be put to the vote of the membership of a non-profit corporation.

Section 2 - Associate Membership
1. Qualifications
Associate membership shall be open to Catholic chiropractic students and non- chiropractors; and Chiropractors, chiropractic students, and non-chiropractors not of the Catholic tradition, who accept the Constitution and Bylaws of the Association for Catholic Chiropractors, and the social and ethical teachings of the Catholic Church, as it relates to health care. They are welcomed as non-voting members.
2. Rights and Privileges
Associate Members shall pay reduced dues and shall not be entitled to vote or hold office, but otherwise be entitled to all the rights and privileges enjoyed by a general member.
3. Categories for Associate Membership
1. Student Member- All Catholic students registered in a recognized chiropractic college.
2. Affiliate Member - All Catholic non-chiropractors.
3. Ecumenical Member- All chiropractors, chiropractic students, and non-chiropractors of other denominations or faiths, who find fellowship with Catholics.
Section 3 - Honorary Members
1. Qualifications
The Board of Directors may grant by a majority vote the status of Honorary Member or Honorary Associate Member to any qualified persons who represent a model of the Christian life.
2. Rights and Privileges
Honorary members shall not pay dues and shall not be entitled to vote, but otherwise shall be entitled to all the rights and privileges enjoyed by a member.
Section 4 - Application
Application for membership shall be made to the Executive Director on forms approved, from time to time, by the Board of Directors and given a final approval by the Executive Committee.
Section 5 - Members in Good Standing
Any member, general or associate, who is not under final suspension of license to practice, whose dues are paid in full, and who continues to support the Church's ethical and moral teachings, as it relates to chiropractic and healthcare delivery, and the Constitution and Bylaws, shall be deemed a member in good standing.
Section 6 - Resignation, Suspension, Censure, Expulsion
1.The Association reserves the right to cancel all rights of membership by resolution of the Board of Directors upon a written notice, for " Cause".
2. Cause shall include, and not be limited to, non-payment of dues, violations of the code of Ethics of the profession, or an act, which unfavorably reflects upon the profession, or the reputation of the association.
3. Members delinquent in dues, in excess of one year shall lose membership privileges of the association.
Article XI - Chapters
Section 1
Any group of four or more Catholic chiropractors or Catholic chiropractic students, residing in the same diocese or adjoining dioceses, or chiropractic college, may request a charter to establish a local chapter of the Association for Catholic Chiropractors
Section 2
All applications for Chapters shall be referred to the Executive Director
Section 3
The Executive Director shall submit the Chapter's application with all the other information together to the Board of Directors for final action at the annual meeting.
Section 4
Chapters shall be known as The ______ Chapter of The Association for Catholic Chiropractors
Section 5
The Association shall provide guidance for the local Chapters, but will not interfere with their independent programs. In turn, the local chapters will not presume the endorsement of the association
Article XII - Revenues and Fees
Section 1
The annual dues shall entitle members to the privileges of membership, receive the official publications of the Association for Catholic Chiropractors, along with the benefits of attending general meetings, sponsored retreats or pilgrimages, and other events.
Section 2
All members subscribing and paying $1,000 will become a Life Member of the Association, and be exempt from annual dues.
Section 3
1. The Board of Directors shall determine annual dues for general and associate members, and oversee all other revenue producing programs.
Article XIII - General Membership Meetings
Section 1
The meetings of the members of The Association for Catholic Chiropractors shall be held at a place and time designated by the Board.
At each meeting the Association shall offer one or more, but not limited to:
(A) Mass or other liturgical celebration, or Spiritual Formation Program.
(B) Conduct sessions devoted to the moral, scientific, theological or social aspects of chiropractic and its practice. These sessions shall be open to all members and all persons affiliated with the Association of Catholic Chiropractors, as well as qualified health care providers, religious, students in all health related fields, and allied professions.
(C) Hold a general assembly to discuss and promote programs and activities in the best interests of the Association for Catholic Chiropractors and its constituent Chapters, and to transact other business as may be necessary.
Section 2 - Quorum
Ten percent of the voting membership present during general assembly constitutes a quorum.
Section 3
Voting can take place for the membership on the Internet or through other communication technologies, or by ballot.
Section 4
No individual shall have more than one vote regardless of the offices he or she may hold.
Article XIV - Order of Business
Section 1
The order of business of the general membership of The Association for Catholic Chiropractors of shall be:
Opening Prayer and Call to Order
Reading of Previous Minutes and Reports of committees
Unfinished Business, New Business, Announcement, Installation of Officers, Closing Prayer
Section 2
Robert's Rules of Order shall govern all order of business not in conflict with the Constitution and Bylaws.
Article XV - Disposition of Assets on Dissolution
In the event of dissolution or liquidation of the Association for Catholic Chiropractors the assets remaining after paying of just debts shall be by appointee, a trustee to carry out the dissolution.
The funds are be held in trust and used to extend the purposes of this corporation as expressed in this Constitution and Bylaws. And if this is not possible, then all remaining assets will be donated to a non-profit organization of the Catholic Church, as the recommended by the Board of Directors, which have consistent goals similar with the Association as determined by the Board of Directors.
Article XVI - Bylaws
Section 1 - Adoption
The bylaws shall be shall be ratified by a majority of voting members present at the first general meeting.
Section 2 - Amendments
Proposed amendment(s) to the bylaws may originate from any member of the Association for Catholic Chiropractors by written communication to the President, who will submit amendment(s) before the next regular meeting of the Board. Upon endorsement by at least a simple majority it will be referred to the Constitution and bylaws Committee. This committee will draft the proposed amendment(s) and submit its recommendations to the Board. The Board will bring it to a vote at its annual meeting.
Accepted by the voting members and adopted the Board of Directors of the Association for Catholic Chiropractors on August 26, 1997.
